Job Description

Position Summary:

Lead commercial counsel for a primary global business segment operating across industrial, aerospace and defense markets, and

Essential Functions:

  • Lead, manage and coordinate all legal aspects of public and private acquisition/divestiture transactions in a fast paced competitive process, including the negotiation, drafting and implementation of purchase/sale/merger agreements and ancillary documents; and assist and coordinate various due diligence and other related work streams to identify and mitigate risk
  • Assist in antitrust analyses for potential acquisition targets and involvement in antitrust/pre- merger clearance filings, inquiries, investigations and other related interactions with antitrust authorities
  • Active participation and support in acquisition/divestiture training and workshops across the organization; and provide training and instruction to business personnel focused on commercial law and related areas
  • Serve as lead commercial counsel to a large global business segment in the drafting and negotiation of sales and procurement agreements, terms and conditions of sale/purchase and other commercial transactions; and contribute value as a trusted business partner providing practical legal solutions to complex commercial issues, disputes and claims
  • Provide commercial counsel to corporate functional leadership in various corporate-level transactions, including sale and procurement agreements, service/consulting agreements, lease arrangements and sales/marketing and supply chain initiatives
  • Collaborate with other Legal Department team members and external counsel experts to identify and resolve issues involving litigation, intellectual property, employment, environmental and compliance matters
  • Lead and actively participate in Legal Department and Practice Area strategy deployment and continuous improvement initiatives
  • Efficiently coordinate, manage and provide direction to external counsel and other third party service providers as needed
  • Positively represent and impact Parker and Legal Department culture and values
  • Perform other duties and responsibilities as assigned

Qualifications:

  • Juris Doctor from an accredited law school
  • Active license to practice law in one or more appropriate jurisdictions
  • Five or more years of relevant, progressive experience as a practicing lawyer in acquisition and divestiture transactions and general commercial matters
  • Ability to independently perform each essential function with skill and efficiency
  • Excellent interpersonal and communication skills to effectively simplify complex issues and facilitate, influence and negotiate across regions, personalities, styles and cultures
  • Strong attention to detail, critical thinking and problem solving skills aligned with client objectives, financial goals and operational needs of the business
  • Ability to operate and address a variety of legal and business issues independently with minimal supervision
  • Creative self-starter with ability to develop and implement innovative, flexible, balanced and practical legal and business solution
  • Collaborative with others, able to work as part of a team to accomplish goals
