About the Opportunity

This is an open position with FirstEnergy Service Co., a subsidiary of FirstEnergy Corp. [SC00]

The Legal department provides exceptional counsel that assures legal compliance and enables FirstEnergy to optimize business outcomes in all legal, regulatory and commercial contexts. The Legal department is involved in every major activity and initiative involving all FirstEnergy entities.

The position will serve as a legal advisor to various business units, including, Human Resources, Corporate Secretary, Financial Reporting, Investor Relations, and Communications, with emphasis on securities laws, corporate governance matters, and executive and incentive compensation matters. The successful candidate will (a) work directly with the business units, department lawyers and outside counsel on all aspects of the foregoing; (b) handle complex legal matters and projects; (c) conduct legal research, draft and edit more significant corporate legal documents, including compensation plans, corporate governance materials, SEC disclosure; and (c) assist more experienced attorneys in representing the organization in various transactions.

The position reports to the Associate General Counsel who is responsible for SEC, corporate, finance, M&A, and other matters. The preferred lcoation is the Corporate Office in Akron, OH, however it can be in other FE locations in PA, W VA and NJ with required travel on a regular basis..

Responsibilities include:

  • Managing, assisting, and handling, as applicable, legal matters in SEC reporting, including, without limitation, drafting and reviewing FirstEnergy's current and periodic reports, proxy statement, registration statements, Section 16 filings, Regulation FD compliance, and preparation of forward-looking statements and disclaimers.
  • Assisting with the preparation of earnings releases and other public announcements.
  • Managing general corporate and board governance matters and subsidiary management.
  • Providing legal support for incentive compensation plans, non-qualified and deferral plans and arrangements, and other executive compensation programs.
  • Bringing thought leadership and a proactive approach in the area of executive and incentive compensation, securities law, and corporate governance.
  • Manages outside counsel to deliver quality and cost effective expert legal guidance on corporate matters as necessary.
  • Provides sound legal advice that is responsive to the business needs of FirstEnergy.
  • Responds to clients' needs consistent with corporate values, strategies, risks and objectives.

Qualifications

  • Juris Doctorate degree from an accredited law school required.
  • Member in good standing with a State Bar required.
  • Active license in Ohio required OR ability to either become a member of the Ohio State Bar or qualify for corporate counsel registration in Ohio required.
  • Minimum 5 years relevant work experience required. Relevant work experience will include focus on representing public companies particularly in supporting the governance of executive compensation, equity and incentive compensation plans, SEC reporting and compliance practice areas, and general corporate matters.
  • In-house legal department experience preferred but not necessary.
  • Strong written and verbal communication skills (including good listening skills) and the ability to achieve positive outcomes through influence.
  • Demonstrates analytical abilities, including problem solving and decision making.
  • Demonstrate maturity to exercise independent judgment on projects and assignments.
  • Ability to work with all levels within the organization; experience interacting with executives and senior management preferred.
  • Demonstrates a questioning attitude to learn, produce results, and develop relationships.
  • Demonstrates proficiency in legal research.
  • Desires to continue to learn and grow, work across FirstEnergy, and deliver results.
  • Ability to work on multiple tasks simultaneously in a dynamic work environment.
  • Ability to deliver quality, accurate work within established deadlines.
  • Proficient with Microsoft Office tools, including Outlook, Excel, PowerPoint, Teams, and Word.
